Terms of Service

1. Acceptance of Terms

By accessing or using akruNX services, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must discontinue use of our services immediately.

2. Description of Services

akruNX offers strategic consulting services across four pillars: Business Development, Operational Efficiency, Technology Management, and Product Development. Services are subject to change, suspension, or termination at our discretion without prior notice.

3. User Obligations

As a client or user, you agree to:

• Provide accurate and complete information
• Use services only for lawful purposes
• Respect intellectual property rights
• Follow agreed-upon payment and confidentiality guidelines

4. Intellectual Property

All content, materials, frameworks, and methodologies provided by akruNX are the intellectual property of DCLA Inc. Reproduction or distribution of any materials requires prior written consent.

5. Payment and Refunds

Fees for services are outlined in individual client proposals. Refund eligibility is determined by the terms of your specific engagement contract. Services may be suspended for non-payment.

6. Limitation of Liability

akruNX and DCLA Inc. shall not be liable for any indirect, incidental, or consequential damages. Our total liability shall not exceed the fees paid for the relevant services.

7. Confidentiality

All business information shared between parties shall remain confidential, except when:

• Disclosure is required by law
• Confidentiality is waived in writing
• Information is already publicly available

Separate NDAs are available upon request.

8. Termination

akruNX may terminate services immediately in the event of a material breach of these terms. Upon termination, all materials must be returned and any outstanding payments settled.

9. Governing Law

These terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes shall be resolved exclusively in Philippine courts.

10. Changes to Terms

akruNX reserves the right to update these terms at any time without prior notice. Continued use of our services constitutes acceptance of any modifications.
